Terms of Service.

Acceptance of these terms

By creating an account or using Morphra ("the Service"), you agree to these Terms of Service and our Privacy Policy. If you're using the Service for an organization, you confirm you have authority to bind that organization to these terms.

If you don't agree, please don't use the Service.

Eligibility

You must be at least 16 years old to use Morphra, and at least 18 to make a paid purchase. The Service is not directed at children under 13.

You may not use the Service if you are prohibited from doing so under applicable law, or if you have previously been banned from the Service.

Your account

You're responsible for keeping your login credentials secure and for any activity that happens under your account. Tell us right away at security@morphra.com if you suspect unauthorized access.

You agree to provide accurate information at signup and to keep it current.

Credits & subscriptions

Credits

Generations and edits consume credits at the rates shown in your workspace. Credits are non-transferable, have no cash value, and (for credit packs) expire 12 months after purchase unless stated otherwise.

Subscriptions

Paid subscription plans renew automatically at the end of each billing period until cancelled. You can cancel at any time from Billing settings — your plan stays active through the end of the current period.

Price changes

We may change pricing for future billing periods. We'll give you at least 30 days notice by email before any price change affects you.

Refund terms are set out in our Refund Policy.

Acceptable use

You agree not to use Morphra to create, upload, or distribute:

• Child sexual abuse material (CSAM) or any content sexualizing minors. We report CSAM to the National Center for Missing & Exploited Children (NCMEC) and law enforcement.
• Non-consensual intimate imagery, including deepfake nudity of real people.
• Realistic depictions of identifiable real people that are intended to deceive (deepfakes) — including in political, electoral, or commercial contexts — without their explicit consent.
• Content that incites violence, terrorism, or hatred against a protected group.
• Content that infringes someone else's copyright, trademark, or right of publicity.
• Malware, phishing material, or content used to harass or defraud someone.

You also agree not to scrape, reverse engineer, or attempt to bypass the rate limits or safety systems of the Service.

Your content

You own your inputs. Anything you upload (reference images, source photos, text prompts) remains yours. You grant us a limited license to process that content solely for the purpose of running the Service — generating outputs, displaying your history to you, and providing support.

You own your outputs. Subject to your compliance with these terms, you own the images you generate using Morphra and may use them for personal or commercial purposes.

We do not train models on your content. Your prompts, uploads, and generated outputs are not used to train AI models — ours or any third party's — unless you explicitly opt in via the workspace settings.

AI outputs

Morphra uses generative models. Outputs are produced probabilistically and may contain artifacts, inaccuracies, or content you did not intend. We make no warranty that outputs will be unique, free of resemblance to existing work, or fit for any particular use.

Two different users entering similar prompts may receive similar outputs. We do not guarantee exclusivity of any generation.

You are responsible for reviewing outputs before publishing them. If you intend to use an output commercially, we recommend clearance review by counsel.

Third-party services

The Service uses third-party providers for hosting, payments (Stripe), email delivery, and AI inference. Their handling of your data is described in our Privacy Policy. We are not responsible for the practices of third parties beyond our reasonable diligence.

Suspension & termination

You can delete your account at any time from Account settings. We will delete your personal data within 30 days as described in the Privacy Policy.

We may suspend or terminate your account if you breach these terms, if your account is used for illegal activity, or if we are required to by law. For material breaches involving illegal content, suspension is immediate and unpaid credits are forfeited.

Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties — express or implied — including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.

We do not warrant that the Service will be error-free, that defects will be corrected, or that outputs will meet your requirements.

Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of these terms or your use of the Service is limited to the greater of $100 or the amount you paid us in the 12 months preceding the event giving rise to the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, lost data, or loss of goodwill — even if advised of the possibility.

Indemnification

You agree to indemnify and hold harmless Morphra, its officers, and employees from claims arising out of your breach of these terms, your misuse of the Service, or content you generate or upload that violates the law or a third party's rights.

Changes to these terms

We may update these terms from time to time. If changes are material we'll notify you by email or in-product at least 30 days before they take effect. Your continued use of the Service after changes take effect means you accept the updated terms.

Governing law & disputes

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes that can't be resolved informally will be brought exclusively in the state or federal courts located in Wilmington, Delaware.

You and Morphra agree to first attempt to resolve any dispute by writing to legal@morphra.com and giving us 30 days to respond before initiating formal proceedings.
